Populate Sound License Agreement
Populate Sound products are 100% royalty free. Only the original purchaser of this product may use our products in their commercial or non-commercial work and releases without paying any additional fees but redistribution of our products is strictly prohibited.
This License Agreement (hereinafter referred to as "Agreement") is made and entered into on the date of download or use of the digital products (hereinafter referred to as "Products") by the user (hereinafter referred to as "Licensee"). The copyright of the Products shall remain the property of Populate Sound (hereinafter referred to as "Licensor"), and Licensor reserves the right to restrict usage of the Products if Licensee violates this Agreement. By downloading or using the Products, Licensee agrees to be bound by the terms and conditions of this Agreement. If Licensee does not agree to these Terms, do not purchase or use the Products. All Rights not expressly granted to the Licensee are reserved.
Usage & Restrictions
Upon purchase of the Products, the Licensor grants Licensee a non-exclusive, royalty-free, perpetual, worldwide license to use the Products in any musical or audio production, including but not limited to recordings, live performances, and broadcasts. Licensee may use the Products for commercial or non-commercial purposes. However, Licensee shall not sell or distribute the Products for free as standalone samples, part of a sample pack or sound library for commercial purposes.
Licensee may not resell, distribute, or share the Products, or any portion thereof, in any way, including but not limited to sharing the Products with other individuals or entities or uploading the Products to the internet. Licensee may not use the Products to create any derivative works, such as sample libraries or virtual instruments, without the express written permission of the Licensor.
Disclaimer
Licensee agrees that Licensor shall not be liable for any damages to hardware, software, equipment or health resulting from the download and use of the Products.
Governing Law
These Terms and Licensees use of the Products shall be governed by and construed in accordance with the laws of the state of California, without giving effect to any principles of conflicts of law. Any legal action or proceeding arising out of or relating to these Terms or the Products shall be brought exclusively in the courts located in Los Angeles, California.
Changes to These Terms
The Licensor reserves the right to change these Terms at any time, and Licensee is responsible for reviewing the latest version of these Terms prior to each purchase of the Products. The Licensee’s continued use of the Products after any changes to these Terms shall constitute its acceptance of such changes.
